Binding Legal Agreement

By accessing our website, placing orders, or engaging in business with ZeVo Metals, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

1. Definitions

In these Terms and Conditions, unless the context otherwise requires:

  • "Company," "We," "Us," "Our" refers to ZeVo Metals (Private) Limited, SECP Registration No. 0209534
  • "Client," "Customer," "Buyer," "You," "Your" refers to any individual or entity purchasing products or using our services
  • "Products" refers to copper and aluminum products, including but not limited to sheets, coils, plates, rods, wires, and related materials
  • "Services" refers to manufacturing, customization, export, shipping, and related business services
  • "Website" refers to zevometals.com and all associated subdomains and services
  • "Order" refers to a purchase request for products, whether submitted through our website, email, or other communication channels

2. Acceptance of Terms

By accessing our website, submitting inquiries, placing orders, or engaging in any business transaction with ZeVo Metals, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

Important Notes:

  • These terms constitute a legally binding agreement between you and ZeVo Metals
  • If you are entering into this agreement on behalf of a company or organization, you represent that you have authority to bind that entity
  • We reserve the right to modify these terms at any time; continued use constitutes acceptance of changes
  • For B2B transactions, separate commercial agreements may supplement these terms

3. Eligibility to Use Our Services

Business Entities

Registered businesses, importers, distributors, and manufacturers engaged in legitimate commercial activities.

Legal Age

You must be at least 18 years of age or the age of majority in your jurisdiction to conduct business with us.

International Clients

We welcome international buyers. You must comply with all import/export laws applicable in your jurisdiction.

Compliance Required

Must provide valid business documentation and comply with anti-money laundering regulations.

4. Products and Services

4.1 Product Range

We manufacture and supply premium-grade copper and aluminum products including:

Copper sheets, coils & plates
Aluminum sheets & coils
Copper rods & wires
Custom specifications

4.2 Quality Standards

All products comply with international standards including:

ASTM Standards ISO 9001:2015 EN Standards JIS Standards

Mill Test Certificates (MTC) and Material Certificates are provided with all shipments.

4.3 Product Specifications & Customization

  • Product specifications displayed on our website are indicative and subject to availability
  • Custom specifications can be accommodated for bulk orders (MOQ applies)
  • Technical drawings, certifications, and samples can be provided upon request
  • We reserve the right to make minor modifications that don't affect overall performance
  • Final specifications will be confirmed in the commercial invoice and purchase agreement

5. Pricing and Payment Terms

5.1 Pricing Policy

  • Quotation Validity: All price quotations are valid for 7 days unless otherwise specified
  • Currency: Prices are quoted in USD (United States Dollars) unless agreed otherwise
  • Price Fluctuation: Prices may vary based on market conditions, LME rates, and order quantity
  • Taxes & Duties: Prices are FOB/CIF as specified. Import duties and local taxes are buyer's responsibility

5.2 Payment Methods

Letter of Credit (L/C)

Irrevocable L/C at sight or usance (preferred for large orders)

Telegraphic Transfer (T/T)

Bank wire transfer (30% advance, 70% before shipment or against copy of documents)

Documents Against Payment (D/P)

Available for established clients with approved credit terms

Credit Terms

Net 30/60/90 days available for pre-approved clients only

5.3 Payment Terms & Conditions

  • Payment must be received before shipment unless credit terms are pre-approved
  • All banking charges outside Pakistan are borne by the buyer
  • Orders are not confirmed until advance payment is received
  • Late payment may incur interest charges at 2% per month or maximum legal rate
  • We reserve the right to suspend or cancel orders for non-payment

6. Orders, Shipping & Delivery

6.2 Minimum Order Quantity (MOQ)

MOQ varies by product type and specification:

  • Standard Products: 5-10 metric tons minimum
  • Custom Specifications: 15-25 metric tons minimum
  • Sample Orders: Available upon request (charges applicable)
  • Contact us for specific product MOQ requirements

6.3 Shipping & Incoterms

FOB

Free on Board (Port of Karachi/Lahore)

CIF

Cost, Insurance & Freight included

DDP/DAP

Delivered to destination (negotiable)

We work with reputable freight forwarders and shipping lines to ensure safe and timely delivery worldwide.

6.4 Delivery Timeline

  • Standard Products: 15-25 days from order confirmation
  • Custom Orders: 25-40 days depending on specifications
  • Shipping Time: Additional 15-45 days depending on destination

Note: Timelines are estimates. Delays due to force majeure, customs, or unforeseen circumstances are beyond our control.

6.5 Risk and Title Transfer

Risk and title transfer according to agreed Incoterms:

  • FOB: Risk transfers when goods pass ship's rail at loading port
  • CIF: Risk transfers upon loading, but insurance covers transit
  • Buyer is responsible for customs clearance and import procedures in destination country
  • Any damage during transit under CIF terms must be claimed against insurance

Note: Third-party inspection costs are borne by the buyer unless otherwise agreed in writing.

8. Warranties, Returns & Claims

8.1 Product Warranty

We warrant that all products supplied by ZeVo Metals:

  • Conform to the specifications agreed in the purchase order
  • Are manufactured using quality raw materials
  • Meet applicable international standards (ASTM, EN, JIS, etc.)
  • Are free from manufacturing defects under normal use

Warranty Period: 90 days from date of delivery for manufacturing defects only

8.2 Claims and Complaint Procedure

To file a claim or complaint, you must:

Notify Immediately

Contact us within 7 days of receiving goods for visible defects or 30 days for hidden defects

Provide Documentation

Submit photos, videos, inspection reports, and detailed description of the issue

Preserve Evidence

Keep defective products unused and in original condition for inspection

Allow Investigation

We may send representatives or request third-party inspection to verify the claim

8.3 Warranty Exclusions & Limitations

Our warranty does NOT cover:

  • Damage caused by improper handling, storage, or transportation after delivery
  • Normal wear and tear or cosmetic damage that doesn't affect functionality
  • Damage from improper installation, misuse, abuse, or unauthorized modifications
  • Corrosion or damage from exposure to corrosive environments
  • Products used beyond their intended purpose or specifications
  • Force majeure events, accidents, or acts of nature

Maximum Liability: Our liability is limited to replacement of defective products or refund of purchase price. We are not liable for consequential, indirect, or incidental damages.

8.4 Return Policy

Standard Orders: Due to the custom nature of B2B metal products, returns are generally not accepted unless products are defective or do not meet agreed specifications.

Defective Products: If products are found defective within warranty period, we will replace them or provide credit at our discretion.

Wrong Shipment: If we ship incorrect products due to our error, we will arrange replacement at our cost.

Return Shipping: All return shipping costs are borne by the party responsible for the issue. Pre-approval required for all returns.

9. Limitation of Liability

Important Legal Notice

To the maximum extent permitted by law, ZeVo Metals shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

  • Use or inability to use our products
  • Loss of profits, revenue, or business opportunities
  • Business interruption or loss of data
  • Damage to property or injury to persons
  • Any third-party claims or actions

Maximum Total Liability: In no event shall our total liability exceed the amount paid by you for the specific products giving rise to the claim.

10. Force Majeure

Neither party shall be liable for failure to perform its obligations due to circumstances beyond reasonable control, including but not limited to:

Natural Disasters

Earthquakes, floods, fires, storms, pandemics

Government Actions

Laws, regulations, embargoes, sanctions

Labor Disputes

Strikes, lockouts, labor shortages

Transport Issues

Shipping delays, port closures, transport failures

Notice Requirement: The affected party must notify the other party promptly in writing of the force majeure event and its expected duration. Performance obligations will be suspended during the force majeure period.

11. Intellectual Property Rights

All content on our website, including but not limited to text, graphics, logos, images, product designs, and software, is the property of ZeVo Metals (Private) Limited and protected by international copyright, trademark, and intellectual property laws.

  • You may not reproduce, distribute, modify, or commercially exploit any content without written permission
  • The "ZeVo Metals" name and logo are registered trademarks
  • Product designs and technical specifications remain our intellectual property
  • Unauthorized use may result in legal action

Customer Designs & Specifications

If you provide us with custom designs, drawings, or specifications, you warrant that you own all rights to such materials and grant us a license to use them solely for manufacturing your order. We will not disclose your proprietary information to third parties.

12. Confidentiality

Both parties agree to keep confidential all business information, technical data, pricing, and trade secrets disclosed during our business relationship. This obligation continues for 5 years after termination of business relations.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms and Conditions and all business transactions shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law provisions.

13.2 Dispute Resolution Process

In the event of any dispute, controversy, or claim arising from these terms, the parties agree to the following resolution process:

Negotiation

Both parties will attempt to resolve disputes amicably through good-faith negotiations within 30 days

Mediation

If negotiation fails, parties agree to submit to mediation by a neutral third party

Arbitration

Unresolved disputes will be settled by arbitration in accordance with ICC Arbitration Rules

Arbitration Venue: Lahore or Gujranwala, Pakistan (or mutually agreed location)
Language: English
Awards: Arbitration awards are final and binding on both parties

13.3 Jurisdiction

The courts of Gujranwala, Pakistan shall have exclusive jurisdiction over any legal proceedings, subject to the arbitration clause above. By doing business with us, you consent to the personal jurisdiction of these courts.

14. General Provisions

Entire Agreement

These terms constitute the entire agreement between parties and supersede all prior agreements, unless otherwise specified in writing.

Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

No Assignment

You may not assign or transfer rights under these terms without our prior written consent.

Notices

All notices must be sent in writing to the addresses specified in the contact section below.

Language

English version of these terms shall prevail in case of any discrepancy with translations.

15. Amendments to Terms

ZeVo Metals reserves the right to modify, amend, or update these Terms and Conditions at any time. Changes will be effective upon posting to our website.

Notification: Material changes will be communicated via:

  • Website announcement
  • Email notification to registered clients
  • Updated "Last Modified" date at the top of this page

Your Responsibility: It is your responsibility to review these terms periodically. Continued use of our services constitutes acceptance of modified terms.
